The need to compete in an increasingly dynamic and global market imposed oncooperative ventures the application of advanced management models. Thus, the professionalizationof management has become the main reason for the maintenance of agro-industrial cooperatives.Within this context, the objective of this paper is to present an overview of the functioning ofcooperatives administratively, with reference to an analysis of organizational tools adopted byCOPERSUCAR and COAMO, two large cooperative ventures in Brazil. As a center for discussion ofresearch, it is emphasized the clash between the dimensions of solidarity economy (self-management)and the capitalist vision (hetero-management). In general, it is intended to expose the strategiesundertaken by the cooperatives and the ways COPERSUCAR and COAMO behave with thecompetitive environment of agribusiness. In this sense, the Corporate Governance (CG) stands out asone of the main organizational tools that represent the management modernization of cooperatives, through a development of ideas related to the New Generation Cooperatives (NGC).
